American
Schools, LLC will provide tutoring/educational courses
and material to students from grades 6-12. Students and
Parents (Referred to herein as "Users") who are enrolled
with American Schools, LLC and have access and use of
American Schools, LLC are subject to the following terms
and conditions and all applicable laws. All students
must be enrolled by an adult for Middle school and High
School courses. You agreeing to the terms and conditions
indicate to us that you have attained the age of
majority under the laws of the jurisdiction in which you
reside.
We reserve
the right to modify, amend or restate the Terms and
Conditions from time to time with or without prior
notice.
Your
use of this web site and any Services after the posting
of modifications to these Terms and Conditions will
constitute your acceptance of the Terms and Conditions
as modified.
Services
American Schools, LLC college prep curriculum, courses,
services, and supplemental educational content to
students (grades 6-12) in the subjects enrolled by the
student. The courses are available 24x7 through the
Internet. American Schools also agrees to refund the
money paid for services if the student or parent is not
satisfied with the services offered within the first 3
days after the start of the initial month sign up.
Schedule of Registration
In consideration of use of American Schools, User agrees
to provide to American Schools and its third-party
partners true, accurate, current, and complete
information as prompted by this Web site's online
registration form (the "Registration/Enrollment Data")
and agrees to maintain and promptly update the
Registration Data as necessary in order to keep it true,
accurate, current and complete. If Member provides any
information that is untrue, inaccurate, not current or
incomplete, American Schools may suspend or terminate
Member's account immediately and may refuse Member all
current or future use of American Schools.
Scheduling and cancelations of Unlimited Course Access
All
courses are available 24x7 over the Internet. Students
completing each course will receive the course credit as
well as the course will be added to the transcript, as
the official record of completion of that course by the
student. After you begin your initial enrollment, we
will automatically charge your account monthly (every 30
days) based upon your initial signup date.
All courses are available and will continue as long as
monthly payments are being processed satisfactorily. If
we do not receive payment within 5 days of each
subsequent month, then your account will be suspended
for non-payment and any courses that are incomplete will
be on hold. Payments for the unlimited access will
always be paid 1 month in advance. Upon receiving your
credit card authorization for the initial number of
courses, we will continue to bill you a month in advance
for the amount of courses agreed upon for initial first
month, unless we receive notification of your
cancellation in writing when you connect with one of our
customer representatives. All terminations will become
valid once we issue a cancellation confirmation number.
It will be your responsibility to notify us of your
cancellation if you have not received a confirmation of
your cancellation within a week of your request for
termination. One week minimum notification will be
required for any cancellations and you will be charged
for the courses remaining in the subsequent week (the
last week of course will start from the date of
confirmation of termination.)
Fees/Payment
The fees for the unlimited courses is payable in advance
per month in US dollars. Only credit card payments are
accepted. We reserve the right to adjust/change fees for
course access at any time.
User
Compliance
The Services may include message systems, bulletin
boards that may provide on-line participation by and
interaction among users. All remarks, suggestions,
ideas, graphics, or other information communicated to us
through our Services will become the property of
American Schools, LLC. Without limitation, we will have
exclusive ownership of all present and future existing
rights to the User Submission of every kind and nature
everywhere. We will be entitled to use the User
Submission for any purpose whatsoever, without
compensation to you or any other person sending the User
Submission.
Intellectual Property
This web site contains material, which is derived in
whole or in part from materials supplied by us and
various other sources. This web site, including but not
limited to its text, logos, content, photographs, flash
animations, video, audio and graphics (the "Intellectual
Property"), is protected by copyrights, service marks,
international treaties and/or other proprietary rights
and laws of USA. You agree to abide by all applicable
copyright and other laws, as well as any additional
copyright notices or restrictions contained in our
services.
Limitations of Use
American Schools, LLC allows all enrolled students, a
limited, personal license, to use the services, and the
software provided. The User shall not copy, reproduce,
recompile, decompile, disassemble, reverse engineer,
distribute, publish, display, perform, modify, upload
to, create derivative works from, transmit or in any way
exploit any part of the service, except that you may
download material from the service and/or make one print
copy for your own personal, noncommercial use, provided
that you retain all copyright and other proprietary
notices. You may not use the services in any way to
improve the quality of any data sold or contributed by
you to any third party. In addition you may not use any
of our trademarks, trade names or service marks in any
manner, which creates the impression that such names and
marks belong to or are associated with you or are used
with our consent, and you acknowledge that you have no
ownership rights in and to any of these names and marks.
You acquire absolutely no rights or licenses in or to
the Services and materials contained therein other than
the limited right to utilize the Services in accordance
with the Terms and Conditions. Should you choose to
download content from the Services, you must do so in
accordance with the Terms and Conditions. Such download
is licensed to you by us only for your own personal,
noncommercial use in accordance with the Terms and
Conditions and does not transfer any other rights to
you.
Liability
While we endeavor to maintain the highest professional
quality of the Services we offer, we cannot be held
responsible for any errors, defects, lost profits, or
other consequential damages arising from the use of our
services. We will not be liable for any damages or
injury, including but not limited to, special or
consequential damages that result from any failure of
performance, error, omission, interruption of work,
defect, delay in operation of transmission, or computer
virus, computer failure, the use of, or the inability to
use, the materials in the Services even if there is
negligence by us or an authorized representative of us;
student has been advised of the possibility of such
damages. The above limitation or exclusion may not apply
to you to the extent that applicable law may not permit
the limitation or exclusion of liability for incidental
or consequential damages. Our total liability to you for
all losses, damages, and causes of action will not
exceed the amount you paid to us to utilize our
Services.
Cancelation Policy
The Terms and conditions are effective until you cancel
your enrollment or American Schools, LLC cancels your
enrollment. You may cancel your enrollment as set forth
in this document by contacting our customer support by
e-mail or phone. This Agreement will terminate
immediately without notice from us if we, in our sole
discretion, decide to terminate it. We will refund any
unused course fees upon termination.
Assurance
You agree, to the extent permitted by applicable law, to
indemnify and hold American Schools, our officers,
directors, owners, agents and employees harmless from
any claim or demand, including reasonable attorneys
fees, made by any third party due to or arising out of
your use of the Services, the violation of these Terms
and Conditions by you, or the infringement by you, or
other user of the Services using your computer, of any
Intellectual Property or other right of any person or
entity. We reserve the right, at its own expense, to
assume the exclusive defense and control of any matter
otherwise subject to indemnification by you.
Severability
In the event that any one or more of the provisions
contained herein shall, for any reason, be held to be
invalid, illegal or unenforceable in any respect, such
invalidity, illegality or unenforceability shall not
affect any other provisions of this agreement, but this
agreement shall be construed as if such invalid, illegal
or unenforceable provisions had never been contained
herein, unless the deletion of such provision or
provisions would result in such a material change so as
to cause completion of the transactions contemplated
herein to be unreasonable.
Covenant
By using American Schools, LLC, you agree to the above
stated terms and conditions. This Agreement is entered
into in the State of Florida and shall be construed in
accordance with the laws of the State of Florida,
exclusive of its choice of law rules. Each party to this
Agreement submits to the exclusive jurisdiction of the
state and federal courts having jurisdiction in the
State of Florida, and waives any jurisdictional, venue,
or inconvenient forum objections to such courts. In any
action to enforce this Agreement, the prevailing party
will be entitled to costs and attorneys' fees. In the
event that any of the provisions of this Agreement are
held to be unenforceable, such provisions shall be
limited or eliminated to the minimum extent necessary so
that this Agreement shall otherwise remain in full force
and effect. This Agreement constitutes the entire
understanding between the parties pertaining to the
subject matter hereof, and any prior written or oral
agreements between the parties are expressly cancelled.
American Schools, LLC may modify the terms of this
Agreement by posting notice of such modification on this
page before the modification takes effect. You are bound
